Strategic analysis of the Circle Internet Group (NYSE: $CRCL (+7,25%)
): The institutionalization of the internet-based financial system
The global financial architecture is at a historic inflection point, characterized by the transition from closed, legacy-based banking systems to open, programmable value chains on the blockchain. At the center of this transformation is the Circle Internet Group, a company that has evolved from a specialized fintech pioneer to a systemically relevant provider of digital dollar infrastructure. By issuing the USD Coin (USDC) and building a vertically integrated technology stack of cross-chain protocols and a proprietary Layer 1 blockchain, Circle has taken a market position far beyond that of a pure stablecoin issuer. This report provides an in-depth analysis of Circle Internet Group's business model, technology underpinnings, regulatory dynamics and financial valuation in the context of the GENIUS Act passed in 2025 and its IPO on the NYSE.1
Company profile and historical development
Circle Internet Group was founded in 2013 by Jeremy Allaire and Sean Neville with the vision of making the exchange of value as frictionless and cost-effective as the exchange of information on the internet.1 Jeremy Allaire, a seasoned technology entrepreneur and founder of Allaire Corporation and Brightcove, brought a software-centric philosophy to the financial world that continues to shape the company today.5 While Circle experimented with various products such as peer-to-peer payments (Circle Pay) and institutional crypto trading (Circle Trade) in its early years, the issuance of stablecoins emerged as the central growth path.
A key milestone was the launch of the USDC in 2018, originally as part of the Centre Consortium in collaboration with Coinbase.1 However, this structure was dissolved as part of the strategic realignment in 2024 and 2025, whereupon Circle assumed sole responsibility for the governance, smart contract control and operational management of the USDC.1 The company is now headquartered in New York City, with key technology and operational functions continuing to be managed from Boston.4 The senior leadership combines expertise from the internet software industry with top-level regulatory experience, personified by individuals such as Heath Tarbert, former Chairman of the U.S. CFTC, who serves as President.5

The business model: The symbiosis of interest income and technology fees
The Circle Internet Group's business model can be understood as a hybrid structure that combines the growth dynamics of a software-as-a-service (SaaS) company with the revenue mechanics of a bank.11 The primary source of revenue is the management of reserves, which cover each USDC token in circulation on a one-to-one basis.
The reserve revenue mechanics
When users issue USDC ("minting"), they deposit US dollars with Circle. These funds are invested in highly liquid, interest-bearing assets, primarily short-term US Treasury Bills and cash deposits with regulated banks.1 The resulting interest income forms the backbone of the income statement. In the first half of 2026, this interest income accounted for around 95.5% of total revenue.2 As the operating costs for maintaining the technological infrastructure are only growing at a disproportionately low rate as the volume in circulation increases, Circle has enormous operating leverage.
A critical factor in this equation is the interest rate environment. In phases of high key interest rates ("higher-for-longer"), the reserve portfolio generates massive cash flows. Falling interest rates, on the other hand, pose a direct risk to the revenue base, forcing Circle to diversify its revenue streams.12
The partnership with Coinbase and distribution efficiency
Circle's economic efficiency is significantly influenced by the distribution agreement with Coinbase. Coinbase, as a strategic partner, receives a significant share of the interest earned on reserves, particularly for USDC held directly on the Coinbase platform.7 In 2024, Circle paid approximately USD 908 million to Coinbase in the form of distribution fees.7 This cost structure results in Circle passing on approximately 60 cents of every dollar earned to partners to drive circulation and adoption of the token.7 While this puts pressure on margins in the short term, it ensures the market-wide dominance of USDC over less regulated competitors.
Fee-based services and Web3 infrastructure
To reduce dependence on interest rate fluctuations, Circle has developed a portfolio of technology services that generate direct fees:
- Circle Mint & Redeem API: Institutional clients pay fees for direct access to create and redeem USDC, eliminating trading fees in secondary markets.14
- Programmable Wallets: Developers can integrate wallet infrastructures into their apps and pay usage-based fees or subscriptions.14
- Circle Payments Network (CPN): This network enables financial institutions to settle transactions in real time and generates revenue through transaction fees that flow independently of reserve interest.17
Technological innovations: The Circle Stack
Technological differentiation is Circle's key "moat" (competitive advantage). The company offers not just an asset (USDC), but the entire infrastructure for its movement and programming.
USDC and EURC: The asset level
USDC is the flagship product as a "digital dollar". With full coverage and monthly auditing of reserves by third-party providers, USDC has established itself as the standard for institutional users who value compliance.11 EURC (Euro Coin) complements this offering as one of the first global stablecoins to be fully compliant with the EU MiCA (Markets in Crypto-Assets) regulation.19 EURC adoption increased by 284% in 2025 as European exchanges had to delist non-compliant tokens.21
Cross-Chain Transfer Protocol (CCTP)
CCTP solves the problem of liquidity fragmentation in the multi-chain world. Traditional "bridges" often use risky "lock-and-mint" procedures, where tokens are locked on one chain and synthetic versions are created on another.22 CCTP, on the other hand, uses a "burn-and-mint" procedure:
Introduction: The user burns ("burns") native USDC on the source chain (e.g. Ethereum).
Attestation: Circle observes this event and creates a cryptographic proof.
Stamping: New native USDC are immediately minted on the target chain (e.g. Solana).22
This protocol is free for developers and ensures that USDC remains fungible and native on all supported blockchains (now over 30).18
The Arc blockchain: the operating system of the future
With the launch of the Arc testnet at the end of 2025, Circle has made the leap to platform provider. Arc is a layer 1 blockchain that has been specially optimized for the requirements of institutional finance.17 In contrast to general-purpose blockchains such as Ethereum, Arc offers specific features:
- USDC as a gas token: Transaction fees are paid directly in USDC, eliminating the volatility of gas costs and simplifying budgeting for organizations.25
- Deterministic finality: Transactions are finalized in less than a second, which is essential for high-frequency applications in the financial sector.26
- Built-in compliance: Features such as selective disclosure allow institutions to maintain privacy while complying with regulatory requirements such as the Travel Rule.26
The role of technologies in the present and future
Currently, Circle's technologies primarily act as a bridge between the traditional financial system (TradFi) and decentralized finance (DeFi). USDC serves as the main liquidity anchor for decentralized exchanges, credit protocols and prediction markets such as Polymarket.17
In the future, Circle's role will extend beyond the crypto sector. The integration of USDC into traditional payment gateways such as Visa and partnerships with companies such as Intuit indicate that Circle wants to become the settlement layer for global commerce.13 One particularly promising field is the "agentic economy". Autonomous AI agents require a programmable currency to conclude contracts and make payments without human intervention. Circle's programmable wallets provide the necessary infrastructure for this, as conventional bank accounts are difficult for software-based agents to access.28
Market position: monopoly or intense competition?
Circle has a de facto monopoly position in the area of regulated stablecoins in the USA. By focusing on compliance at an early stage and working closely with the US authorities, the company has built up a regulatory lead that is almost impossible for new entrants to catch up with.2
Nevertheless, the competitive environment is intense. The market can be divided into three segments:
1 Offshore dominance (Tether)
Tether (USDT) remains the global market leader with a market capitalization of over USD 180 billion, particularly in speculative trading and emerging markets.6 However, USDT is not compliant with the GENIUS Act or MiCA, which limits its use in regulated Western markets.19 Interestingly, Tether launched a regulated offshoot, "USAT", in 2026 to challenge Circle directly on US soil.28
2 Fintech competition (PayPal, Paxos)
PayPal has launched its own stablecoin, PYUSD, which benefits greatly from integration into the company's huge merchant network.6 Paxos, on the other hand, is positioning itself as an infrastructure competitor for banks with its "Global Dollar Network".6
3 Bank stablecoins and CBDCs
Major banks such as JPMorgan are experimenting with JPM Coin for internal settlements. In addition, state-issued central bank digital currencies (CBDCs) pose a long-term systemic risk if states want to squeeze the private sector out of payments.18
Financial valuation and key figures
Circle's valuation on the stock exchange reflects the expectation that the company will become the "Visa of the blockchain era". After the IPO in June 2025 at USD 31 per share, the stock experienced extreme volatility, rising to almost USD 300, falling to around USD 50 in February 2026 and recovering to a level of around USD 112 to USD 120 in March 2026.2
Analysis of key figures (as at March 2026)
The price/earnings ratio (P/E) is currently negative on a GAAP basis due to one-off costs in connection with the IPO (USD 424 million for share-based payments).38 Analysts are therefore focusing on the adjusted EBITDA and the price/sales ratio (P/S).
P/S (price-to-sales)
9.9x - 14.5x
High, but reflects the 40% CAGR growth target.2
P/E (KGV) - GAAP

Distorted by one-off IPO effects.38
P/E (P/E ratio) - 2027 Forward
50,0x
Based on an EPS estimate of USD 2.40.11
OC Yield (Operating Cash Flow)
20 % (CFO/Rev)
Shows very efficient cash generation from the operating business.40
FCF Yield (Free Cash Flow)
18 % - 2,8 %
The free cash flow increases with increasing scaling.40
Market capitalization
~28.7 - 29.5 billion USD
Positions Circle as a large-cap fintech.
The mathematical derivation of the fair value using the discounted cash flow (DCF) method is heavily dependent on assumptions about future interest rate levels. The price/sales ratio of over 10x is well above the average for the software industry (3.6x), which shows that the market values Circle more as an infrastructure company than a pure software company.42
Financial performance 2025 at a glance
Circle reported full-year 2025 revenue of $2.7 billion, representing 64% year-over-year growth.21 Adjusted EBITDA doubled to $582 million, highlighting operational strength.38 USDC's on-chain transaction volume exploded 247% to nearly $12 trillion in the fourth quarter of 2025, suggesting the token is increasingly being used for real-world economic activity.18
Is the stock a buy? Analyst consensus and investment thesis
Opinions on Wall Street are divided, with the majority of analysts (approx. 60%) issuing a "buy" recommendation.44
The bull scenario
Bulls see Circle as a "once-in-a-generation" opportunity. The argument is based on the growing acceptance of stablecoins as the standard for B2B payments. If just a small percentage of global payment flows (over USD 100 trillion) switch to the USDC rail, the token's market capitalization and thus Circle's interest base would increase massively. Bernstein has issued a price target of USD 190 based on the assumption that Circle will become the dominant force in AI payments.28
The bear scenario
Bears warn of "interest rate risk". As almost all sales are linked to short-term US interest rates, an aggressive interest rate reduction policy by the Federal Reserve would hit the business model hard.12 The risk of margin compression due to competition from banks is also cited. Critics note that the fair value of the share in a DCF model with conservative assumptions could be closer to USD 40 to 60.42
What happens next? Strategic outlook
The next 12 to 18 months will be decisive for the Circle Internet Group. Three topics are at the forefront:
1. the completion of the banking license
Final approval by the OCC for the "First National Digital Currency Bank" would be a watershed event. This would allow Circle to hold reserves directly with the Federal Reserve, minimizing counterparty risk and increasing profitability by eliminating the need to pay commercial intermediary banks.10
2. the expansion of Arc
The transition from the testnet to the mainnet of the Arc blockchain will show whether Circle is able to build a thriving developer ecosystem. The success of Arc would turn Circle from an issuer into a platform monopolist, similar to Apple with the App Store.
3 AI integration
Circle is investing heavily in the automation of payments through AI agents. If machine-to-machine payments become a mass phenomenon, this could smooth out the volatility of USDC circulation and create a new, constant source of fees.13
Conclusion
The Circle Internet Group is far more than just the company behind USDC. It is the architect of a new financial railroad that is merging the Internet with global banking. The business model is highly scalable and benefits massively from the current regulatory consolidation in the USA.
For investors, however, the share is not a "widows and orphans" security. The extreme dependence on interest rate policy and the close ties to Coinbase are structural risks that must be taken into account. Nevertheless, the analysis of technological superiority (CCTP, Arc) and market position (64% transaction share) shows that Circle is excellently positioned to emerge as one of the big winners from the digitalization of finance. The current valuation appears high, but is justified by the potential to become the infrastructural backbone of a trillion-dollar market. Anyone who believes in the future of programmable money and on-chain finance cannot ignore a detailed observation by the Circle Internet Group.2
