Unilever is now my second split (after 3M). And unfortunately this has littered my portfolio with split shares of $MICC (+0,8%) and $SOLV WI (+0,13%) which don't even pay dividends. To make matters worse, the 9:8 reverse split also leaves me with crooked numbers of shares in $ULVR (+1,29%) .

I HATE CROOKED NUMBERS!

DKB writes that the fractions are treated separately. I can already see the sale of 0.222 shares worth €12.25 coming my way for a "small fee" of €10. Unfortunately, DKB is merciless in this respect (I had the same experience with the 3M split of Solventum).

Who suffers with me?

As here (formerly) 3M

$MMM (+0,37%)

fanboys were probably also here because of the (then) dividend, after the phoenix 🐦‍🔥 from the ashes --> see 3M article, does anyone still know IN - Solventum?!

Yes, many wanted to book out the stock (hardly tradable in Germany).

From 64 USD it went rapidly downhill to 48 USD

the grief was high with 3M.

After 16 months and up 90%, the stock is now at its ATH of USD 86

Buy and hold?

The acquisition of Acera is intended to close an important gap in Solventum's portfolio in the field of modern wound care, particularly in the US market, on which Acera focuses.

Transaction is expected to be slightly dilutive to adjusted earnings per share in 2026 before being accretive to earnings from 2027 onwards as margins improve through revenue growth and savings in administrative and overhead costs.

Solventum addressed investor concerns regarding recent changes to the Centers for Medicare & Medicaid Services (CMS) reimbursement model, noting that these primarily affect biologics in the non-acute setting.

The company emphasized that Acera's Restrata products are synthetic and sold exclusively in hospitals, limiting the risk from these reimbursement changes.

Regarding the announcement of the share buyback worth

1 billion, Solventum stated that the timing of the buyback was largely coincidental to the acquisition announcement.

The company explained that the share buyback program was not explicitly included in the calculations to achieve the medium-term earnings per share target of 10% compound annual growth rate until 2028.

This share buyback contributes to Solventum's high shareholder return despite the non-payment of dividends to shareholders.

Thermo Fisher acquires Solventum's cleaning unit for 4.1 billion US dollars

Thermo Fisher Scientific Inc. (NYSE: TMO), a global leader in serving science, has announced a definitive agreement to acquire the Purification & Filtration business of Solventum (NYSE: SOLV) for $4.1 billion in cash. This strategic move is expected to expand Thermo Fisher's biomanufacturing capabilities and strengthen its presence in the fast-growing bioprocessing market.

Solventum's Purification & Filtration business, which generated approximately $1 billion in sales in 2024, is known for its purification and filtration technologies. These technologies are essential for the production of biologics, medical devices and various industrial applications. The company employs around 2,500 people in several regions, including the Americas, Europe, Middle East, Africa and Asia-Pacific.

The transaction is expected to close by the end of 2025, subject to customary closing conditions and regulatory approvals. Thermo Fisher forecasts that the acquisition will be initially dilutive to adjusted earnings per share (EPS) by $0.06, excluding financing costs, but accretive to earnings by $0.28 in the first year following the acquisition. The company expects to realize approximately $125 million in adjusted operating income from revenue and cost synergies by the fifth year after closing. According to InvestingPro analysis, Solventum currently trades at an EV/EBITDA multiple of 11.15x, with analysts maintaining price targets between $63 and $82 per share.

A big move for former 3M subsidiary Solventum $SOLV WI (+0,13%)The company has announced that it will sell its purification and filtration business to Thermo Fisher Scientific for a whopping USD 4.1 billion. $TMO (+2,66%) for a whopping USD 4.1 billion. 👍

This deal, which is expected to be completed by the end of 2025, is intended to realign Solventum's business and reduce its debt burden. With net proceeds of approximately USD 3.4 billion, the company plans to mainly reduce its debt.

Bryan Hanson, CEO of Solventum, emphasizes that this sale is part of a comprehensive transformation plan. By focusing on strategic areas, the company aims to create long-term value for shareholders. The transfer of the business to Thermo Fisher, which supplies filters and membranes for various industries, will strengthen Solventum's innovation capabilities and enable the necessary investments in talent and programs.

This move demonstrates the importance for companies to focus on their core competencies while strengthening their financial foundations.

The clearing out of the portfolio continues and today I sold 3M after a total of 1,417 days, after the P&L finally turned green again after several years. The interim loss of a good 50% was more or less successfully sat out.

I have now sold with a profit of a paltry €14.07 (after transaction costs).

Added to this are dividends totaling €477.78 and the proceeds from the sale of the $SOLV WI (+0,13%) shares after the spin-off of €329.01 after transaction costs.

The return was therefore €820.86 or around 22.9% after all costs, which corresponds to a CAGR of 5.46% p.a.. I'm anything but happy with that, but in the end I'm still glad I didn't sell at the low. I have often thought about it.

The proceeds from the sale will be reallocated to the $VWRL (-0,25%) at the next opportunity.

$SOLV WI (+0,13%) Out with it 😅

Don't see any added value in the share and have sold it. Can do better things with the money

Since the spin-off from 3M, I have 1 share of $SOLV WI (+0,13%) in my portfolio, but I can't really do much with the business model. They do everything to do with dental treatments at the dentist, which is actually lucrative. Did you keep the shares or did you sell them?

An (opinion & experience) update on the spin-off of $SOLV WI (+0,13%) Solventum and reverse split $GLAD (+1,47%) Gladstone Capital. The Solventum shares were tradable after about 3-4 weeks, the Glad shares within a few days and since yesterday savings plans are available again at SC.

What I will do for the next spin-offs and splits is to keep more calm. I could have saved myself all those posts and thoughts afterwards. Everything worked out without me having to do anything.

If such "complex" things work out, nobody will have to ask in future when their dividend from $BATS (+2,08%) will finally arrive. 🤣🤣
