The US pharmaceutical company Gilead Sciences is strengthening its cancer business and acquiring the biotech company Arcellx for 7.8 billion dollars. With the acquisition, Gilead secures full access to the promising cancer therapy anito-cel.
Gilead is paying 115 dollars per Arcellx share in cash, the company announced on Monday. An additional conditional payment of five dollars per share will also be made. Arcellx shares shot up by almost 78 percent in pre-market US trading.
"The acquisition underscores our belief in the potential of anito-cel," said Gilead CEO Daniel O'Day. The drug could become a fundamental treatment for multiple myeloma, even in earlier lines of therapy.
The two companies have already been working together on the development of the drug via Gilead's subsidiary Kite since 2022. The acquisition gives Gilead full control and eliminates future profit sharing, milestone payments and royalties to Arcellx.
The US Food and Drug Administration (FDA) has already accepted the application for approval of anito-cel. A decision is expected by the end of 2026. The deal is expected to be finalized in the second quarter.
