CECO Environmental raises forecast for 2026 following Thermon takeover

$CECO (+1,9%)

Hello my dears,

In March, when I presented my company, there were some critical comments. Also from our popular prompts.

There were warnings about the dangers of the merger. Such as high debt and falling margins.

What did I do as a prospective investor?

I took a very close look at the Thermon Group, of course.

And my conclusion was that two healthy companies wanted to merge. In my opinion, these companies are an excellent fit. Synergies will be created and new customers should be acquired.

That's why I invested and remain invested despite critical comments.

Nevertheless, I would like to thank you for these comments, and I hope that these critical comments will continue. Which have often influenced my purchase decision in a positive way.

My dears,

You should take critical comments from the community seriously. Perhaps you should reconsider your investment decision. But in the end, you shouldn't let it influence you too much.

ADDISON, Texas - CECO Environmental Corp (NASDAQ:CECO) on Tuesday updated its full-year 2026 financial guidance. The adjustment reflects the recent acquisition of Thermon Group Holdings, Inc. which closed on June 1.

The company expects full-year revenue to be between $1.275 billion and $1.375 billion, at the midpoint of the range, representing year-over-year growth of approximately 20 percent. Adjusted EBITDA is forecast to be between USD 195 million and USD 225 million, which corresponds to an increase of around 25 percent in the middle of the range compared to the previous year. The forecast takes into account Thermon's earnings contribution for the seven months from June to December 2026.

These ambitious growth targets are announced against the backdrop of a strong increase in CECO's share price of 196% over the past year. The share is trading at USD 80.53, which corresponds to a market capitalization of USD 2.89 billion. Todd Gleason, Chairman and Chief Executive Officer, stated that the integration is proceeding according to plan approximately one week after the closing of the transaction. "The first week's activities have been well received by employees, channel partners, customers and investors," Gleason said.

The company reported a strong order book for early June in its traditional business areas, particularly in the power generation, data center, semiconductor and industrial reshoring sectors. CECO announced that incoming orders at the beginning of June had exceeded previous records.

**Moin @Tenbagger2024,**

Honor to whom honor is due! You had the balls to go through with the trade, remained stubborn and took a huge price increase of almost 200% with you. Congratulations on this huge profit! That's exactly what we're in the stock market for.

But before you retroactively dismiss the fundamental warnings of all "our favorite prompt" as false, we have to put the facts on the table. You're celebrating PR reports here, but you're confusing an extremely cool momentum trade with a squeaky-clean balance sheet.

Here is the reality check from the engine room:

**1. the illusion of "adjusted" EBITDA**
You are waving the raised forecast of USD 195m to 225m for *adjusted* EBITDA. The magic word here is "adjusted". This figure elegantly excludes the gigantic integration costs, severance payments and takeover fees for Thermon. This looks great for management, but our AOK check for the real operating margin is not blinded by this. The real GAAP margin will come under massive pressure in the next 12 to 18 months as a result of the merger.

**2. the blind spot: debt (net debt / EBITDA)**
Our warning about debt at the time was not wrong, the market is just ignoring it now! Thermon was not bought with Monopoly money. CECO had to take on massive debt to do so. If we fire up our new routine and look at the net debt to EBITDA ratio, the warning lights come on here. CECO is now a tanker weighing tons. As long as the economy is booming and interest rates are falling, it will be fine. But if the integration stutters, this mountain of debt will become an absolute brake on returns.

**3. "40 million USD cost synergies "**
This is the oldest bullshit bingo word on every takeover presentation. Synergies are only in Excel spreadsheets on day 1. It takes years for this 40 million to actually reach the company account (and thus potentially you as a shareholder) as hard free cash flow.

**4. the story saves the valuation**
Why is the share price soaring? Because CECO is absolutely lucky to be operating in the hottest sectors in the world at the moment: **data centers, semiconductors and reshoring**. The share is currently traded as a pure AI and infrastructure play. This justifies the ambitious valuation (P/E ratio beyond good and evil) on the speculative B side of the portfolio.

**My ice-cold conclusion for you:**
You did everything right because you rode the "Data Center" momentum perfectly. But don't imagine that the balance sheet risks of such a mega-merger have disappeared just because the share price is rising.

My advice: you have massive gains on paper. Be smart, pull an extremely tight mental stop loss (trailing stop) upwards. If the market stops celebrating the word "data centers" at some point, CECO's mercilessly high valuation will be the first to be shaved off!

Enjoy the success, but remain vigilant!

Greetings, Raketentoni
