$BITF (-1,3%) today announced the appointment of Edie Hofmeister as Chairman of the Board of Directors of Bitfarms. This appointment supports Bitfarms' previously announced strategy to relocate its headquarters to the United States. Ms. Hofmeister succeeds Brian Howlett, who has served as a Director since 2020 and as Chairman of the Board since 2024. Mr. Howlett will continue to serve as an independent member of the Board of Directors.
Ms. Hofmeister has more than two decades of extensive expertise in the areas of law, corporate governance and corporate strategy, which she has acquired over many years in management positions. As an American business leader, she has successfully guided multinational companies through IPOs and private placements, NYSE and NASDAQ listings, complex debt financings, joint ventures, complex litigation and multi-billion dollar acquisitions. Thanks to her profound knowledge of US corporate and securities law, she has contributed significantly to the development of governance practices in line with US standards. From 2010 to 2019, she served as Executive Vice President Corporate Affairs and General Counsel for Tahoe Resources. As the company's first female employee, she was instrumental in building Tahoe Resources from a start-up to a mid-tier precious metals producer with operations across the Americas. In this role, she led capital raises and major infrastructure projects. Ms. Hofmeister joined Bitfarms' Board of Directors in November 2022 and has since served as Chair of the Governance and Nominating Committee and the Environmental and Social Responsibility Committee.
"I am honored to take over as Chair of the Board at this pivotal moment for Bitfarms," said Chair-elect Edie Hofmeister. "My experience in building large-scale infrastructure and leading risk and governance functions has taught me the importance of a solid foundation in times of change. Moving our headquarters to the US is expected to give us greater access to US capital sources, expand our US investor base and improve our chances of inclusion in certain stock indices. As the company moves forward with relocating its headquarters to the US, I will focus on maintaining a strong governance foundation while supporting the execution of Bitfarms' HPC/KI growth strategy. I look forward to working closely with Brian, Ben and the Board during this transition."
CEO Ben Gagnon added: "We thank Brian for his leadership as Chairman. He has been instrumental in shaping our strategic direction and making significant progress at Bitfarms. We will continue to benefit from his experience and perspective as an independent board member. This transition underscores our commitment to sound governance and strategic growth as we prepare to relocate our headquarters to the US. Edie's experience as an executive and longtime board chair makes her uniquely qualified to lead the board at this pivotal time."
