Thermo Fisher acquires Solventum's cleaning unit for 4.1 billion US dollars

Thermo Fisher Scientific Inc. (NYSE: TMO), a global leader in serving science, has announced a definitive agreement to acquire the Purification & Filtration business of Solventum (NYSE: SOLV) for $4.1 billion in cash. This strategic move is expected to expand Thermo Fisher's biomanufacturing capabilities and strengthen its presence in the fast-growing bioprocessing market.

Solventum's Purification & Filtration business, which generated approximately $1 billion in sales in 2024, is known for its purification and filtration technologies. These technologies are essential for the production of biologics, medical devices and various industrial applications. The company employs around 2,500 people in several regions, including the Americas, Europe, Middle East, Africa and Asia-Pacific.

The transaction is expected to close by the end of 2025, subject to customary closing conditions and regulatory approvals. Thermo Fisher forecasts that the acquisition will be initially dilutive to adjusted earnings per share (EPS) by $0.06, excluding financing costs, but accretive to earnings by $0.28 in the first year following the acquisition. The company expects to realize approximately $125 million in adjusted operating income from revenue and cost synergies by the fifth year after closing. According to InvestingPro analysis, Solventum currently trades at an EV/EBITDA multiple of 11.15x, with analysts maintaining price targets between $63 and $82 per share.

Bryan Hanson, CEO of Solventum, emphasizes that this sale is part of a comprehensive transformation plan. By focusing on strategic areas, the company aims to create long-term value for shareholders. The transfer of the business to Thermo Fisher, which supplies filters and membranes for various industries, will strengthen Solventum's innovation capabilities and enable the necessary investments in talent and programs.

This move demonstrates the importance for companies to focus on their core competencies while strengthening their financial foundations.

The clearing out of the portfolio continues and today I sold 3M after a total of 1,417 days, after the P&L finally turned green again after several years. The interim loss of a good 50% was more or less successfully sat out.

I have now sold with a profit of a paltry €14.07 (after transaction costs).

Added to this are dividends totaling €477.78 and the proceeds from the sale of the $SOLV WI (+2.14%) shares after the spin-off of €329.01 after transaction costs.

The return was therefore €820.86 or around 22.9% after all costs, which corresponds to a CAGR of 5.46% p.a.. I'm anything but happy with that, but in the end I'm still glad I didn't sell at the low. I have often thought about it.

The proceeds from the sale will be reallocated to the $VWRL (-0.39%) at the next opportunity.

A question for the TR users here who also $SOLV WI (+2.14%) from the spin-off of $MMM (-1.9%) have received.

Do you have a buy-in price on file?

I would like to sell - but would like to know beforehand how much it will cost in terms of tax. I think there will be a loss - but how much? If the loss is still too high, I would wait and deposit a limit sale.

Or has anyone already sold and can say something about the tax? Do I have to pay tax on the entire sale proceeds?

Don't see any added value in the share and have sold it. Can do better things with the money

Since the spin-off from 3M, I have 1 share of $SOLV WI (+2.14%) in my portfolio, but I can't really do much with the business model. They do everything to do with dental treatments at the dentist, which is actually lucrative. Did you keep the shares or did you sell them?

An (opinion & experience) update on the spin-off of $SOLV WI (+2.14%) Solventum and reverse split $GLAD (+1.19%) Gladstone Capital. The Solventum shares were tradable after about 3-4 weeks, the Glad shares within a few days and since yesterday savings plans are available again at SC.

What I will do for the next spin-offs and splits is to keep more calm. I could have saved myself all those posts and thoughts afterwards. Everything worked out without me having to do anything.

If such "complex" things work out, nobody will have to ask in future when their dividend from $BATS (+0.05%) will finally arrive. 🤣🤣

It's a shame that such issues are not handled automatically in the app.
