Energiekontor AG decides to buy back shares

Bremen, July 3, 2025 - The Management Board of Energiekontor AG ($EKT (+0.31%) ) resolved today, with the approval of the company's Supervisory Board, to buy back shares again. In detail, the following resolutions have been passed:


  • 1. the share buyback carried out on the basis of the resolutions of the Management Board and Supervisory Board of 30 May 2024, which took place from 14 June 2024 to 4 April 2025, has been terminated with reference to the underlying authorization of the Annual General Meeting of Energiekontor AG of 20 May 2020 to acquire treasury shares, which was valid until 19 May 2025.
  • 2. on the basis of the new authorization of the Annual General Meeting of 2 July 2025, the company acquires up to 80,000 treasury shares in the period from 3 July 2025 to 30 June 2026 at the latest, whereby the buyback is limited to such a number of shares or to a total purchase price of a maximum of EUR 9,000,000. The shares will be purchased via the stock exchange.
  • 3. the buyback is to be carried out by Quirin Privatbank AG in accordance with the safe harbor provisions of Article 5 of Regulation (EU) No 596/2014 of the European Parliament and of the Council of April 16, 2014 in conjunction with the provisions of Commission Delegated Regulation (EU) 2016/1052 of March 8, 2016. It is intended that Quirin Privatbank AG will make the decisions on the timing of the acquisition of the shares independently and uninfluenced by the company.
  • 4. the consideration paid per share (excluding incidental acquisition costs) may not be more than 10% higher or lower than the average closing price for shares of the same class determined on the Frankfurt Stock Exchange during the last three trading days prior to the acquisition of the shares.
  • 5. the acquired shares shall be used for all legally permissible purposes.
  • 6. all transactions shall be announced weekly on the company's website after they have been executed.

@Singulus was approved yesterday at the AGM with a large majority of shareholders, including myself 😂😇. The buyback reduces the number of shares in circulation, the supply becomes tighter and usually has a positive effect on the share price, at least in the short term. This is also positive for the dividend, as it has to be distributed across fewer shares. So much for the theory. Only time will tell how many shares $EKT will ultimately buy back and what effect this will have.

Bremen, 3 July 2025 - By resolution of the Annual General Meeting of Energiekontor AG on 20 May 2020, the Management Board was authorized pursuant to Section 71 (1) No. 8 AktG to acquire and redeem treasury shares of the company of up to 10 percent of the share capital without the redemption or its implementation requiring a further resolution of the Annual General Meeting.

On the basis of this authorization, the company again resolved a share buyback programme on 30 May 2024 and acquired a total of 40,273 no-par value bearer shares in the company with a pro rata amount of the share capital of EUR 1.00 per share via the stock exchange in the period from 14 June 2024 to 4 April 2025.

Using the above authorization to redeem own shares acquired in accordance with Section 71 para. 1 no. 8 AktG, the company's share capital will be reduced by EUR 40,273.00 from EUR 13,982,359.00 to EUR 13,942,086.00 by redeeming 40,273 fully paid-up no-par value shares with a notional interest in the company's share capital of EUR 1.00 per share.

The Supervisory Board resolved to amend the Articles of Association as a result of the capital reduction. After the redemption takes effect, the company's share capital amounts to EUR 13,942,086.00 and is divided into 13,942,086 ordinary bearer shares.
