As a shareholder, you have an interest in all assets owned by the winery (Dürnberg Fine Wine AG), in particular all properties (vineyards, company property, barrel cellar in the Kellergasse), but also the company building, the technical equipment of the winery (tanks, wine presses, filters, tractors, etc.), as well as the entire stock.
As a shareholder, can I expect a regular dividend?
Of course, the future economic development of a company cannot be predicted with certainty, but from today's perspective and based on our current forecasts, we are already expecting corporate earnings for the financial year following our capital increase (2023) that will enable us to pay a dividend of 5% on the capital invested by our shareholders.
How will my shares be held in custody? Do I need a securities custody account?
All Dürnberg Fine Wine AG shares are registered in the name of the respective shareholder (registered shares). Ownership of shares is evidenced by a corresponding entry in the company's share register, so our shareholders do not need a securities deposit account and no ongoing fees are incurred.
Can I visit the winery before investing to get an idea of the company?
We think it is a very good idea to find out more, to visit Falkenstein and the winery and to get to know the people involved! As individual visits are only possible to a limited extent due to our small team and the ongoing workload, we have planned special events for our (potential) future co-owners on all weekends until the end of October. At these events, you can taste the entire wine program and get to know the winery and the Dürnberg team.
How can I sell my share(s) at a later date?
The shares of Dürnberg Fine Wine AG are freely transferable and can therefore be sold or transferred at any time without restriction; there are currently no plans for a stock exchange listing, but trading via a so-called traderoom will be possible by the end of 2023 at the latest, although this can only offer limited liquidity.
Who can become a shareholder? Are there any restrictions in this regard?
In principle, every wine lover is welcome as a co-owner and both private individuals and companies (legal entities) can subscribe for shares. However, due to legal requirements, we have to restrict our circle of shareholders to persons or companies with a main residence or registered office in the European Union.
I would like to subscribe shares as a gift for someone else. How does this work?
- Subscription of the shares in your own name.
- The shares can be transferred to the recipient immediately after the capital increase has been entered in the share register. We will provide a corresponding transfer form for this purpose on our homepage in good time.
How are dividends from Dürnberg Fine Wine AG treated for tax purposes?
Dividends of Austrian stock corporations are subject to capital gains tax in Austria, which currently amounts to 27.5%. This tax must be withheld by the paying agent - i.e. the winery - and paid to the tax office. The net dividend thus paid out to the shareholders is therefore subject to final taxation and is no longer included in any tax return; an obligation to deduct Austrian capital gains tax (currently 27.5%) also applies to the distribution of dividends to persons not subject to tax in Austria. With regard to the taxation of Austrian dividends in the home country of a foreign shareholder, double taxation agreements may apply: for example, German investors who receive dividends from Austrian shares must first pay withholding tax in Austria. As there is a double taxation agreement (DTA) between Germany and Austria, investors can offset up to 15% of the withholding tax paid in Austria against their tax liability in Germany. Investors can reclaim the difference of 12.5% from the Austrian tax authorities - however, a corresponding application must be submitted.
My personal opinion: In principle, I think it's a nice gimmick and €300 gamble can be done once in a while. The whole thing will only become interesting when the trader room will be possible at the end of 2023, until then the only consolation is the dividend, which at 5% can keep up well with other p2p platforms.
