(25.11.2025) Kitron ASA ("Kitron" or the "Company") announces a proposed
private placement of up to 17,000,000 new ordinary shares in the Company (the
"Offer Shares") (the "Private Placement").
Kitron has announced its intention to acquire the Swedish EMS
provider DeltaNordic in full. The combination strengthens Kitron's position in demanding industrial and defense markets while expanding the Group's European footprint.
DeltaNordic develops and manufactures electronic and electrical systems for defense, mining, construction and infrastructure applications, among others. The acquisition gives Kitron access to two development and production sites in Sweden as well as additional capacity in China.
The transaction comprises a mixture of cash, shares and a performance-based earn-out. Closing is still subject to regulatory approvals in Sweden and is expected in late 2025 or early 2026.
According to Kitron, the customer base and technology portfolio of the two companies are largely complementary, so that the acquisition creates growth potential in several segments - particularly in defense & aerospace, industrial electronics and energy applications. Following the merger, DeltaNordic will be integrated into the existing business structures, but will continue to operate with its own customer focus.
The acquisition is part of Kitron's long-term growth strategy to expand its presence in critical high-tech sectors and further strengthen its production capacity in Northern Europe.
