In a bombshell for the tech industry, quantum computing pioneer IonQ $IONQ (+2,88 %)
announced the acquisition of SkyWater $SKYT
Technology. This creates the world's first vertically integrated quantum company, offering everything from chip development to finished high-performance computers from a single source.

COLLEGE PARK / BLOOMINGTON - The quantum era is massively accelerating: IonQ (NYSE: IONQ) and SkyWater Technology (NASDAQ: SKYT) have signed a definitive agreement to merge. IonQ is paying around 1.8 billion US dollars for the takeover. The deal is a strategic stroke of genius that not only secures IonQ's technological sovereignty, but also makes the company an indispensable partner for US national security.

A technological and industrial breakthrough

Until now, the development of quantum computers has often been held back by dependence on external semiconductor foundries. With the acquisition of SkyWater, the largest purely US-based foundry, IonQ is breaking down this barrier.

"This transformational acquisition allows IonQ to materially accelerate our roadmap and secure a fully scalable domestic supply chain," said Niccolo de Masi, CEO of IonQ. Through vertical integration - combining design, manufacturing, packaging and system build - IonQ aims to dramatically shorten the development cycles for new quantum chips.

The new milestones:

- 2028: Start of functional tests for QPUs with 200,000 qubitswhich should enable over 8,000 high-precision logical qubits.

- Acceleration: The development of a massive 2 million qubit chip chip is to be brought forward by up to one year thanks to the synergies.

Strategic fortress for national security

The political component is particularly explosive: SkyWater is a "Category 1A Trusted Foundry" accredited by the US Department of Defense. At a time when technological supremacy in quantum technologies is considered crucial to national security, the combined company is positioning itself as the "National Champion" of the US and its allies.

This makes IonQ the preferred supplier for highly sensitive defense, cryptography and government infrastructure applications.

The details of the deal

The transaction is structured as a combination of cash and equity components:

- Price: SkyWater shareholders will receive per share USD 15.00 in cash and 20.00 USD in IonQ shares.

- Hedging: A so-called "collar" protects shareholders against extreme fluctuations in the IonQ share price in the period up to closing.

- Structure: SkyWater will continue to operate as a wholly-owned subsidiary under its established name. Thomas Sonderman remains at the helm of SkyWater and reports directly to de Masi.

Outlook for investors

The markets are reacting attentively to the figures published at the same time: IonQ announced that revenue for 2025 is expected to be at the upper end or even above the forecast range of 106 to 110 million USD forecast range.

Despite the acquisition, SkyWater will remain true to its core business: the company will continue to operate as an independent contract manufacturer (pure-play foundry) for customers in the AI, automotive and IoT industries. However, it will also offer IonQ's quantum sensing and networking technologies to the broader market.

Conclusion: With this move, IonQ is transforming from a pure technology developer to an industrial heavyweight. If the integration succeeds, the competition - from Google to IBM - could come under massive pressure in the race for the first commercially viable, fault-tolerant quantum computer.

@Multibagger

With $SKYT the start has been promising with almost + 20% in one week. But there is certainly more to come.

The share of Skywater Technologie Inc has reached a new 52-week high of $35.00. This milestone is a significant moment for the company, whose shares have risen by an impressive 185.97% in the past year. The rise to this annual high reflects strong investor confidence and potentially positive developments within the company. As Skywater Technology continues to capture the market's attention, this upward trend underscores the company's robust performance in the technology sector.

In other recent news, SkyWater Technology announced its results for the third quarter of 2025. The company reported revenue of $150.7 million, which exceeded the company's own guidance but missed analysts' expectations of $81.98 million. Earnings per share amounted to $0.24, falling short of the forecast of -$0.17. In addition to the quarterly report, SkyWater Technology announced a multi-million dollar collaboration with QuamCore, a quantum hardware company, to develop superconducting manufacturing processes for control electronics in the field of quantum computing. The partnership aims to jointly develop a process for QuamCore's "Single Flux Quantum" digital controller chip that operates at extremely low temperatures. The collaboration will also focus on the integration of SFQ digital control circuits with superconducting qubit arrays to address quantum computing scalability challenges. These developments underscore SkyWater Technology's continued innovation efforts in the field of quantum computing.

After the call yesterday, the share is going up today!

@Multibagger we almost couldn't have timed it better

$SKYT

This time a purchase of $SKYT

$SKYT Let's see how it develops today. But it looks good after a short period of profit-taking. I think the buying pressure before tomorrow could increase again this afternoon.

@Multibagger What do you think?

SkyWater $SKYT is not just a semiconductor manufacturer - it is the only purely US-based "pure-play" foundry. In an era of America First and the global race for quantum supremacy SkyWater has become the indispensable backbone of U.S. national security and technological independence.

While the market is still discussing classic chip giants SkyWater $SKYT (+8.31 %) has secretly positioned itself as the "enabler" for the technologies of tomorrow. If you want to understand why there is so much fantasy in this share, you have to look behind the facade of pure production.

1. strategic home advantage: "America First & Reshoring"

SkyWater is the prime beneficiary of the current US trade policy. While other manufacturers have to worry about whether their plants in Taiwan or China are safe, SkyWater is safe in Minnesota, Florida and Texas.

• National Security: SkyWater is "DOD-trusted." This means they have clearance from the Department of Defense to build chips for highly sensitive military projects. In an "America First" era, that's a priceless competitive advantage.
• CHIPS Act & Subsidies: Billions are flowing back into the country through the U.S. government's reshoring program. SkyWater has already received tens of millions for the expansion of its cleanrooms. They are effectively the extended arm of US industrial policy.
• Independence: Customers who want to ensure that their intellectual property (IP) is not copied overseas are increasingly migrating to SkyWater.

2. The "deep tech" pearls (products)

SkyWater builds things that others cannot or are not allowed to build:

• Rad-Hard chips: Semiconductors that can withstand the most extreme radiation in space. Indispensable for your space picks like Redwire and BlackSky.
• Quantum computing: In November 2025, a cooperation worth millions was launched with QuamCore. SkyWater supplies the superconducting control chips for quantum computers.
• Silicon Photonics: Chips that use light instead of electricity - the key to the next generation of energy-efficient AI servers.
• Valuation: With a market capitalization of just under USD 1.4 bn, SkyWater is still a "small cap" compared to the industry giants with enormous leverage potential if they fully utilize their capacity in Texas (Fab 25).
• Next trigger: The Fireside Chat at the Needham Conference tomorrow (Wednesday) at 19:30. Traders are expecting statements on the current order backlog due to the reshoring wave.

Conclusion

SkyWater is the strategic bet on US independence. With a market capitalization of USD 1.4 bn and the full support of the "America First" policy behind it, the company is a rare hybrid of defensive security (government contracts) and explosive tech growth (quantum/AI).

SkyWater is the perfect bet for anyone who wants to benefit from the US semiconductor reshoring without the geopolitical risk of a Taiwan invasion in the portfolio.

But beware: The current short interest is approx. 11.3 % of the float (approx. 3.5 million shares). This is a double-edged sword:

The risk: Some traders are betting against the stock because it is considered "overbought" after the 500% run from the low.

The opportunity: Should the news at the Needham Conference (tomorrow) surprise positively, this high short interest could trigger a short squeeze. short squeeze which could catapult the share price above the 35-dollar mark.

Be sure to let me know what you think about the company!
