💼 Synopsys takes over Ansys - a lucrative trade?

$SNPS (+0,34 %) Synopsys announced in January 2024 $ANSS (+0,32 %) to acquire Ansys for 35 billion. Under the terms of the deal, each Ansys shareholder will receive $197 and 0.345 Synopsys shares per share. The current share price of Ansys is $302.74 and of Synopsys $413.32.


At the current price, this would mean: $197 + 0.345*$413.32 = $339.6 per Ansys share.

However, the current Ansys share price is $302.74. That is about 12% difference. The European and British competition authorities have already approved the deal. The takeover is planned for the first half of 2025.

How certain is it that the takeover will take place and that Synopsys will not pull out? Wouldn't it be smart to trade it? What do you think?

Could make sense. Synopsis has fallen by 24% over 1Y, but Ansys has only fallen by 12%, so this gap has already narrowed

@Soprano Nevertheless, the market still does not seem to believe in the takeover. On the day of the announcement in January 2024, there was no major upward swing in the Ansys share price, in fact there was a downward swing.

Well, as I said, the gap has narrowed, which means the probability of a successful deal has increased. But we are still not entirely convinced.

I believe this will be priced into the share price immediately. You won't have the opportunity to buy the share beforehand.

@Aminmeskini However, the takeover was announced over a year ago and Ansys is still freely tradable. Nothing will change until the takeover.
